Welcome to OnSite Insights ("App," "we," "us," or "our"), operated by OnSite Insights, Inc. By accessing or using our mobile application, you agree to be bound by these Terms of Use ("Terms").

The App is typically made available to you by an organization — such as your employer or a site operator — that has deployed the Service. Your use may also be governed by a separate agreement between OnSite Insights, Inc. and that organization. If you do not agree to these Terms, please do not use the App.

OnSite Insights provides a location- and context-aware platform that delivers role-specific audio instructions to users at physical work sites and captures a verifiable record of work performed ("Services"). The App uses Bluetooth Low Energy (BLE) beacons and your device's location and sensor signals to trigger relevant instructions at the moment and place they are needed.

At the end of a shift or work session, the App may record an audio summary that you provide and transmit it, along with associated timing and context data, to the organization that deployed the Service. By providing an audio summary, you consent to this recording and transmission. The App accesses your device's microphone only for this purpose.

OnSite Insights is a tool deployed by organizations for their personnel and authorized users; access and data handling may be governed by a separate agreement between OnSite Insights, Inc. and that organization.

You must be at least 18 years old and authorized by the organization that deployed the Service to use this App. By using the App, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms.

To access certain features, you may need an account. Your account may be created by you or provisioned for you by the organization that deployed the Service. You agree to provide accurate, current, and complete information and to keep it accurate and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us or the deploying organization immediately of any unauthorized use of your account.

We, or the organization that deployed the Service, may suspend or terminate your access at any time, with or without notice, for violation of these Terms or for any other reason we deem appropriate.

The App is intended for use in connection with work activities at physical sites designated by the deploying organization. You agree to use the App only as directed by that organization and in compliance with applicable site rules and laws.

Certain features require that you grant the App access to your device's microphone, Bluetooth, and location services, and depend on the availability of Bluetooth, network, and location signals. Some features may require a compatible device, which the deploying organization may supply. We do not guarantee that the App will function on every device or in every environment.

The App is not an emergency, safety, or life-safety system and must not be relied upon as one. Always follow your organization's safety procedures. Do not use the App in any manner that distracts from the safe operation of equipment or compromises site safety.

The App captures execution records relating to work performed and, when you choose to provide one, audio summaries recorded through your device's microphone. You consent to such recording at the time you choose to record.

These records and summaries, together with associated timing and context data, are transmitted to and made available to the organization that deployed the Service. That organization's own policies, and the OnSite Insights Privacy Policy, govern how this information is handled. You agree not to record content you are not authorized to record and not to falsify, tamper with, or circumvent the App's capture functions.

Audio summaries are transcribed to text, after which the original audio recording is deleted, as described in the Privacy Policy. To the extent any audio summary or other recording you provide is considered biometric information under applicable law, you consent to its collection, processing, transmission, transcription, and deletion as described in these Terms and the Privacy Policy.

The App captures data in connection with your use, including work and execution records, audio summaries, location and proximity data, and associated timing and context data ("Service Data"). As between you and OnSite Insights, and subject to the rights of the deploying organization under its separate agreement with us, you grant OnSite Insights, Inc. a worldwide, royalty-free license to host, store, process, transmit, and use Service Data to operate, provide, secure, and improve the Service.

OnSite Insights may also create de-identified and aggregated data derived from Service Data — that is, data processed so that it does not identify, and cannot reasonably be linked to, you or any individual. OnSite Insights may use and disclose such de-identified and aggregated data for any lawful business purpose, including research, analytics, benchmarking, and the development and training of analytics, artificial intelligence, machine learning, and robotics systems, including by its affiliates and third parties. Our handling of personal information is described in the Privacy Policy.

The rights of the deploying organization in Service Data, and OnSite Insights' obligations with respect to that organization's data, are governed by the separate agreement between OnSite Insights and that organization, which controls in the event of any conflict with this section.

All content, features, and functionality of the App, including but not limited to text, graphics, logos, images, audio, and software, are the exclusive property of OnSite Insights, Inc. or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

The app and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the App will be uninterrupted, secure, or error-free, or that it will capture every record or instruction. App functionality depends on factors outside our control, including device capabilities and the availability of Bluetooth, network, and location signals. We do not warrant the accuracy, completeness, or reliability of any content or information available through the App.

To the maximum extent permitted by law, onsite insights, inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the app, even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising out of or related to these terms or the app shall not exceed the greater of (a) the amounts paid by you or on your behalf for use of the app in the twelve (12) months preceding the claim, or (b) one hundred u.s. dollars (us$100).

You agree to indemnify, defend, and hold harmless OnSite Insights, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the App or your violation of these Terms.

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes our collection and use of data, including location data, audio recordings, and work-related records. Please review it to understand our data collection and use practices.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the App or by other means. Your continued use of the App after such modifications constitutes your acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its rules, with the seat of arbitration in Fort Walton Beach, Florida, except where prohibited by law.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

These Terms constitute the entire agreement between you and OnSite Insights, Inc. regarding the use of the App.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
